The secretary and members of staff
58. The Council shall appoint the secretary who shall be a nurse holding a statutory qualification and such other members of staff of the College as it shall deem necessary provided always that the Council may delegate to a Committee of the Council or to the Secretary of the College and through the Secretary to such other members of the staff of the College as the Secretary may deem appropriate the responsibility for the appointment of members of staff. The Council shall have the right to suspend or dismiss any member of the staff of the College and the Council, in its discretion, may delegate this responsibility to a Committee thereof or to the Secretary of the College and through the Secretary to such other members of the staff as the Secretary may deem appropriate.
- The Council has to appoint a Secretary, who must be a qualified nurse. It also appoints the members of staff it needs, and delegates to them the power to recruit other members of staff. The Council has the right to suspend or dismiss any member of the RCN or Council itself - and can delegate these powers to committees or other members of staff.
59. The Council shall determine and may vary the remuneration of members of the staff of the College as it shall in its discretion think fit. The Council shall determine and may also vary the duties and terms of employment of members of the staff of the College, but before exercising this power, the Council shall normally consult with the members of the staff concerned through such machinery as may exist or may be set up for the purpose.
- The Council can decide how much to pay its employees. It can also alter their terms and conditions of employment, but must do so in consultation with the staff and their representatives.
60. The Secretary of the College, who shall be the Chief Executive Officer, shall be responsible for implementing or causing to be implemented the decisions and policies of the Council. The Secretary shall keep the minutes of all meetings of the Council and of all Committees of the Council unless the Secretary, with the agreement of the Council, shall designate some other member of the staff for this purpose. In the absence of instructions by the Council to the contrary, it shall be the duty of the Secretary to send notices of all meetings of the College and of the Council to all persons entitled to receive the same.
- The Secretary of the RCN is its Chief Executive Officer. The Secretary is responsible for making sure that decisions and policy of the Council is implemented. The Secretary is responsible for keeping minutes of all meetings of the Council and its committees, or they can delegate minute taking to another member of staff. Unless the Council says otherwise, it is the job of the Secretary to send out notices of meetings to those eligible to attend.
Responsibility and indemnity
61. The Secretary and all other Officers and members of the staff of the College and all Members of the Council shall be entitled to be indemnified out of the funds of the College in respect of any expenses, loss, liability, costs or damages suffered or incurred by them in the course of carrying out their duties as such Officers, members of the staff or Members of the Council except by their own wilful act or default.
- The Secretary, officers and other members of staff are allowed to claim expenses which they have reasonably incurred In the course of carrying out their duties for the RCN.
Definitions
62. In this and the following Bye-Laws 63-84 the following expressions will have the following meanings:-
"the Academic Board" means the board of staff and students of the Institute appointed according to the Regulations;
"the Institute Board" means the Governors of the Institute for the time being;
"the Clerk to the Institute Board" means the person appointed as such under the Regulations;
"the College Governors" means the Governors appointed under Bye-Law 67.(b);
"the Governors" means the Governors for the time being appointed to the Institute Board pursuant to Bye-Law 67;
"the Institute" means the Royal College of Nursing of the United Kingdom, Institute of Advanced Nursing Education and any successor body;
"the Principal" means the Chief Executive of the Institute from time to time appointed according to the Regulations; and
"the Regulations" means the Regulations of the Institute made pursuant to Bye-Law 65.
